By engaging the services of 221B Labs, you agree to the following terms.
1. Project Scope
All projects begin with a discussion to define the scope, deliverables, timeline, and pricing. Any work requested outside the agreed scope may require a revised quotation and timeline.
2. Payments
2.1 Payment Terms
A project begins only after the agreed advance payment has been received.
The remaining balance is payable according to the agreed milestones or before final delivery.
Delayed payments may result in a pause in project work.
2.2 Project-Based Terms
Final payment due before delivery of final files
Project timeline begins upon receipt of deposit and all required materials
Rush fees may apply for expedited timelines
3. Revisions
Reasonable revisions are included as specified in the project proposal. Requests that significantly alter the agreed scope may be treated as additional work and billed separately.
4. Client Responsibilities
The client agrees to:
Provide timely feedback and approvals.
Supply all required content, assets, credentials, and information.
Respond within a reasonable timeframe to avoid project delays.
221B Labs is not responsible for delays caused by missing information or late approvals.
5. Intellectual Property
Ownership of the final deliverables transfers to the client after full payment has been received, unless otherwise agreed in writing.
221B Labs retains ownership of:
Internal tools
Development frameworks
Reusable components
Design systems
General methodologies
6. Confidentiality
Any confidential information shared during the project will be treated with reasonable care and will not be disclosed to third parties without permission, except where required by law.
Non-disclosure of client business information
Secure storage of client materials
Private project details unless authorized
Confidentiality extends post-project
7. Third-Party Services
Projects may rely on third-party platforms or services, including hosting providers, APIs, payment gateways, cloud platforms, or software libraries.
221B Labs is not responsible for outages, pricing changes, or policy updates made by these third-party providers.
8. Project Timeline
Estimated timelines depend on:
Timely client communication
Availability of required resources
Scope changes during development
Timeline estimates are not guarantees.
9. Warranty
After project delivery, we provide a 14-day bug-fix warranty for issues directly related to our work.
The warranty does not cover:
New features
Third-party service failures
Changes made by anyone other than 221B Labs
Client-requested modifications after delivery
10. Portfolio Rights
Unless otherwise agreed, 221B Labs may showcase completed work in its portfolio, website, or marketing materials.
Confidential projects will not be displayed without written permission.
11. Cancellation
Either party may cancel the project with written notice.
Payments already made are generally non-refundable for work completed up to the cancellation date.
12. Limitation of Liability
221B Labs shall not be liable for indirect, incidental, or consequential damages, including loss of profits, business interruption, or data loss arising from the use of our services.
Our maximum liability is limited to the amount paid for the specific project.
13. Governing Law
These Terms shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of the competent courts in India.
